Terms of Service

1. About These Terms

These Terms of Service (“Terms”) govern the use of Oxyvin’s website and, where expressly applicable, the provision of Oxyvin’s customer engagement services. Specific commercial engagements may be governed by a separate Master Services Agreement (“MSA”), Statement of Work (“SOW”), Order Form or other written agreement. Where there is a conflict, the applicable signed agreement will prevail over these website Terms.

2. Oxyvin Services

Oxyvin provides customer engagement and contact-center services, which may include outbound calling, inbound callback support, peak-season and overflow support, lead follow-up, customer engagement, multilingual calling, campaign execution, contact-center operations, and reporting and performance monitoring. The exact services, service levels, pricing, staffing and operating model will be defined in the applicable commercial agreement.

3. Client Responsibilities

Clients are responsible for providing accurate campaign instructions; providing legally obtained and appropriately usable customer/prospect data; ensuring that calling lists and communication instructions comply with applicable law; providing necessary system access where the client-controlled model is used; providing accurate scripts, offers and campaign information; obtaining any required permissions, notices or consents; and providing timely operational decisions and approvals.

4. Acceptable Use

Clients must not instruct Oxyvin personnel to engage in unlawful activities; misrepresent products, services or identity; make fraudulent or deceptive communications; violate applicable telecommunication, privacy or consumer-protection requirements; contact individuals where such contact is prohibited by applicable law or contractual restrictions; or process information in a manner inconsistent with applicable law.

5. Client Data

The client remains responsible for the accuracy, legality and appropriate use of client-provided data. Oxyvin will process client data for the purposes agreed with the client and subject to the applicable data-processing terms.

6. Confidentiality

Each party will protect confidential information received from the other party and will use it only for legitimate business purposes. Confidentiality obligations will survive termination where required by the applicable agreement.

7. Intellectual Property

Unless otherwise agreed:

• Each party retains ownership of its pre-existing intellectual property.
• Oxyvin retains ownership of its proprietary processes, systems, templates, methodologies and know-how.
• Client materials remain the property of the client.
• Client-specific deliverables will be governed by the applicable commercial agreement.

8. Service Availability

Oxyvin will use commercially reasonable efforts to deliver agreed services. Unless expressly stated in an applicable agreement, specific performance levels, response times, uptime commitments or minimum volumes are not guaranteed.

9. Fees and Payment

Fees, taxes, billing arrangements, payment terms and applicable notice periods will be specified in the applicable commercial agreement. Unless otherwise stated, applicable taxes will be charged in accordance with law.

10. Suspension and Termination

Oxyvin may suspend or terminate services where required payments remain overdue; the client materially breaches the agreement; continued service would create legal, security or regulatory risk; the client provides unlawful or materially misleading instructions; or required access or information is not provided. Termination rights and notice periods will primarily be governed by the applicable MSA/SOW.

11. Limitation of Liability

To the maximum extent permitted by applicable law, each party’s liability will be limited as specified in the applicable commercial agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Governing Law

These Terms are governed by the laws of India. Subject to any dispute-resolution provisions in the applicable commercial agreement, the courts having appropriate jurisdiction in Chennai, Tamil Nadu, India will have jurisdiction.

13. Changes

Oxyvin may update these Terms periodically. The latest version will be published on the website.
